Referral Program Terms of Service

1. Acceptance of these Terms

These Referral Program Terms of Service (the "Terms") govern your participation in the Estate Greats Referral Program (the "Program"), operated by Estate Greats LLC ("Estate Greats," "we," "us," or "our"). By enrolling, checking the box to agree, submitting a referral, or otherwise participating, you agree to these Terms. If you do not agree, do not participate in the Program.

2. Eligibility

You must be at least 18 years old, a resident of the United States, and legally able to enter into a binding agreement. The Program is open to individuals and businesses — including past clients, real estate agents, attorneys, financial advisors, senior-living and moving professionals, and others — who refer prospective estate-sale clients to us.

Current Estate Greats employees and staff are not eligible to earn rewards under this partner Program; staff referrals are handled separately. Referrals must comply with any professional, licensing, or employer rules that apply to you (for example, brokerage or fiduciary disclosure obligations). You are solely responsible for that compliance.

3. How the Program works

When you enroll, you receive a unique referral link and code. A "Referral" is a prospective client you send to us using your link or code, or whom you submit through your referral dashboard, and whom Estate Greats was not already in contact with or already tracking as a lead or client.

You are responsible for only referring people who are open to being contacted about an estate sale. Do not submit anyone's personal information without a reasonable basis to believe they welcome the referral.

4. Reward and what qualifies

You earn $200 for each Qualifying Referral, unless a different amount is agreed in writing for your account. A Referral becomes a "Qualifying Referral" only when ALL of the following are true:

• The referred party is a new lead that Estate Greats was not already working with or tracking before your referral;
• The referred party signs an Estate Greats service contract; and
• That contract is not cancelled, rescinded, or terminated during any applicable cancellation or rescission period.

5. Attribution and one reward per estate

Referrals are attributed using your link, code, or dashboard submission. Where more than one partner refers the same prospective client or estate, the first properly-attributed Referral we receive is credited. Only one reward is payable per referred household or estate, regardless of the number of items sold or the number of partners involved.

6. Payment and taxes

Rewards are earned only after a Qualifying Referral's contract is signed and any cancellation period has passed. We generally pay earned rewards within 30 days after they are earned, by check or electronic payment to the contact and payment details on file. Keep your information current; we are not responsible for rewards delayed or lost due to outdated details.

You are solely responsible for any taxes on rewards you receive. If your rewards total $600 or more in a calendar year, we will report the amount on an IRS Form 1099 and you must provide a completed IRS Form W-9. We may withhold payment until we receive a valid W-9.

7. What does not qualify

The following do not earn a reward, at our reasonable discretion:

• People who are already Estate Greats clients or leads, or who contacted us independently of your referral;
• Self-referrals, including referring your own estate, property, or household, or a business you own or control;
• Duplicate or repeat submissions of the same lead;
• Leads obtained through spam, purchased or scraped lists, or without a reasonable basis to believe the person welcomes the referral;
• Referrals involving misrepresentation of Estate Greats, our services, pricing, or the Program; and
• Referrals where no contract is signed, or where the contract is declined, cancelled, or does not proceed.

8. Independent relationship

You participate as an independent party. Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship between you and Estate Greats. You have no authority to bind us, quote prices, make promises, sign documents, or otherwise act on our behalf, and you will not represent yourself as an Estate Greats employee or agent.

9. No guarantee

Estate Greats decides, in its sole discretion, which prospective clients it accepts, the terms it offers, and whether any referral moves forward. Participation does not guarantee any reward, referral volume, or level of earnings.

10. Prohibited conduct

You agree that you will not:

• Send unsolicited bulk or spam messages, or otherwise violate the CAN-SPAM Act, TCPA, or other applicable marketing and privacy laws;
• Make false, misleading, or exaggerated claims about Estate Greats, our services, or the Program;
• Use the Estate Greats name, logo, or trademarks, or run paid advertising referencing Estate Greats, without our prior written permission; or
• Offer money, discounts, or other incentives to a referred party in Estate Greats' name without our written authorization.

11. Changes, suspension, and termination

We may change, suspend, or end the Program, or change the reward amount or these Terms, at any time. The reward amount in effect at the time a referred client signs a contract governs that Referral. We may remove any participant from the Program and may withhold, reverse, or refuse any reward obtained through violation of these Terms, fraud, or abuse.

12. Limitation of liability

The Program is provided on an "as is" basis. To the fullest extent permitted by law, Estate Greats is not liable for any indirect, incidental, special, or consequential damages arising from the Program, and our total liability to you will not exceed the total rewards actually owed to you at the time a claim arises.

13. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
